Thanks for visiting Veezyon.com, an online service that allows its users to explore knowledge-based videos and to capture their notes and relevant bookmarks to enhance their research.

The Veezyon.com service ("Service") is owned and operated by Veezyon Corporation ("Veezyon” or “Company"), a Delaware corporation. THIS TERMS OF USE AGREEMENT (“AGREEMENT”) IS A LEGAL AGREEMENT BETWEEN YOU, AN INDIVIDUAL OR A SINGLE ENTITY OR YOUR QUALIFIED LEGAL REPRESENTATIVE ("YOU"), AND VEEZYON. By using and/or visiting http://www.veezyon.com (“Web site”), registering for our service, you represent and warrant that you have read, understand, and have the legal capacity to, and hereby accept all the terms and conditions of this agreement in their entirety, and agree to be legally bound by this agreement. IF YOU DO NOT AGREE TO ABIDE BY THESE OR ANY FUTURE TERMS OF USE, PLEASE DO NOT USE OR ACCESS THE SERVICE OR THE WEB SITE. We reserve the right to change, modify or alter this Agreement, at any time. Modifications to the terms will become effective immediately when they are posted, thus we recommend checking this Agreement on a regular basis. Your continued use of the Service and the Web site following the posting of modifications will constitute your acceptance of the revised Agreement.

1- User Eligibility and Use of Web Site:

You must be 13 years old or older to use the Web site and the Service and to register. You don’t have to register to view most of the videos but you do have to register to use our research tools. Whether you register or not, when you use the Web site and the Service, you are considered as a “User”. Company may cancel your account and/or prohibit you from using or accessing the Service or the Web site for any reason, at any time. You will use select a username and choose a password to access your account. Company may prevent, disallow or remove a particular username. You may never use another user's account and log in information without permission. You are responsible for assuring the confidentiality of your password and account. You are entirely responsible for any and all activities that occur under your account. You agree to immediately notify Veezyon of any unauthorized use of your account or any other security violation known to you. The Company will not be liable for your losses caused by any unauthorized use of your account; you may be liable for the losses of Veezyon or others due to such unauthorized use.

You understand that the Service and the Web site are for your personal, non-commercial use only. You represent, warrant and agree that no materials of any kind saved in your account will violate or infringe upon the rights of any third party, including patent, copyright, trademark, privacy, publicity or other personal or intellectual proprietary rights; or contain unlawful material. You agree not to collect email addresses or other confidential information of other Users by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. You agree not to use automated scripts, crawlers, code, spiders, robots, and software to collect information, to sign on, to receive information or for any other purpose. You agree that you may not use the Service or the Web site in any unlawful manner or in any other manner that could damage, overburden or disable the Web site.

2- Intellectual Property Rights:

a) Veezyon partners with content publishers and owners and secures rights to the content that it aggregates on the Web site. “Content” as used in the Agreement refers to, collectively or individually, any video, audio, text, data, graphics and images made available by Veezyon on the Web site. Veezyon and its partner content publishers and owners own all worldwide intellectual property rights in the Web site, of the Content and the trademarks, service marks and logos. You have the right to non-commercial viewing and listening of such content. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Web site, the Service, and the Content. You will not edit, reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Web site, the Service and the Content. All rights reserved.

b) Users of the Web site and the Service can save URLs (bookmarks or links), notes and other text data in their account. The content that the users generate is referred as “User Generated Material” in this Agreement. Veezyon does not claim any ownership rights in the User Generated Material; you retain all ownership rights. User Generated Material is the sole responsibility of the User, from which such content originated. You, and not Veezyon, are entirely responsible for all User Generated Material that you upload, post, email, transmit or otherwise make available through the Web site or the Service. By doing so, you hereby grant Veezyon (and its successor) a worldwide irrevocable, perpetual, non-exclusive, royalty-free, fully sublicensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such content and to prepare derivative works of, or incorporate into other works, such User Generated Material on the Web site and the Service in any media formats and through any media channels. This license does not grant the Company the right to sell User Generated Material or otherwise distribute it through another channel.

The Company may have patents, patent applications, trademarks, copyrights, or other intellectual property rights for its Web site and/or Service. Unless we have granted you licenses to our intellectual property in this Agreement, our providing you with such Web site and Service does not give you any license to our intellectual property. Any rights not expressly granted herein are reserved.

3- Warranty Disclaimer

Company does not endorse any content, from its partners or users, or any opinion, recommendation, or advice expressed therein, and we disclaim any and all liability in connection with content on our Web site and offered through our Service. Company does not permit copyright infringing and infringement of intellectual property rights. Company will as quickly as possible remove all copyright infringing content when properly notified and when verifies the validity of the notice. You understand that you will be exposed to content from a number of publishers and users that the Company is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such content. You further acknowledge that you may be exposed to content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against the Company with respect thereto, and agree to defend, indemnify and hold harmless the Company, its parent corporation, its subsidiaries, its licensors, and their respective officers, directors, employees and agents to the fullest extent allowed by law regarding all matters related to your use of the Service and the Web site.

THE VEEZYON SERVICE, VEEZYON CONTENT AND MARKS ARE PROVIDED BY VEEZYON "AS IS" AND "AS AVAILABLE". VEEZYON MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, ABOUT THE VEEZYON SERVICE OR ITS CONTENT OR MARKS, AND TO THE FULLEST EXTENT PERMITTED BY LAW, VEEZYON DISCLAIMS ALL WARRANTIES REGARDING THE VEEZYON SERVICE AND ITS CONTENTS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR COMPLETENESS OF CONTENT, NON-INFRINGEMENT, OR THE AVAILABILITY OR QUALITY OF ANY PRODUCTS OR SERVICES AVAILABLE VIA THE VEEZYON SERVICE (EXCEPT AS MAY BE SET FORTH IN ANY LICENSE OR OTHER AGREEMENT RELATED TO THOSE PRODUCTS OR SERVICES). YOU AGREE THAT USE OF THE VEEZYON SERVICE SHALL BE AT YOUR SOLE RISK. FURTHER, VEEZYON DOES NOT ENDORSE, GUARANTEE OR ASSUME RESPONSIBILITY FOR ANY INFORMATION, RECOMMENDATION, PRODUCT OR SERVICE ADVERTISED OR OFFERED BY ANY THIRD PARTY THROUGH THE VEEZYON SERVICE OR ANY HYPERLINKED WEBSITE OR INCLUDED IN ANY BANNER OR OTHER ADVERTISING, AND VEEZYON WILL NOT BE A PARTY TO OR IN ANY WAY RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD PARTY WITH RESPECT THERETO.

4- Limitation of Liability

IN NO EVENT SHALL VEEZYON OR ITS AFFILIATES, SUBSIDIARIES, PARTNERS OR LICENSORS OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND/OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS OR REVENUE, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR OTHERWISE) ARISING DIRECTLY OR INDIRECTLY FROM YOUR USE OF THE VEEZYON SERVICE, OR ANY CONTENT, PRODUCTS OR SERVICES DISTRIBUTED ON OR PROVIDED THROUGH THE VEEZYON SERVICE (INCLUDING BUT NOT LIMITED TO, VEEZYON CONTENT AND VEEZYON MARKS), WHETHER AS A RESULT OF ERRORS, OMISSIONS, LOSS OF DATA, DEFECTS, VIRUSES, INTERRUPTIONS OR DELAYS IN OPERATION OR TRANSMISSION, OR ANY OTHER CAUSE, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF VEEZYON OR ITS SUPPLIERS HAVE BEEN EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, VEEZYON ASSUMES NO LIABILITY FOR: ANY ERRORS, MISTAKES OR INACCURACIES IN OR OF ANY CONTENT, INCLUDING ANY USER MATERIAL OR VIDEO MATERIAL AND PUBLISHER MATERIAL; PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE VEEZYON SERVICES; ANY UNAUTHORIZED ACCESS TO OR USE OF THE VEEZYON SERVERS AND/OR ANY PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE VEEZYON WEBSITE; ANY VIRUSES, BUGS, TROJAN HORSES, WORMS OR OTHER MALICIOUS CODE WHICH MAY BE TRANSMITTED TO OR THROUGH THE VEOH WEBSITE BY ANY THIRD PARTY; AND/OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE VEEZYON SERVICE OR ANY CONTENT, INCLUDING ANY USER MATERIAL OR VIDEO MATERIAL AND PUBLISHER MATERIAL, POSTED, EMAILED OR OTHERWISE MADE AVAILABLE THROUGH THE VEEZYON SERVICE.

SOME JURISDICTIONS RESTRICT THE LIMITATION OF LIABILITY OR DAMAGES, SO THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IF ANY PART OF THE LIMITATION OF LIABILITY SET FORTH ABOVE IS UNENFORCEABLE UNDER APPLICABLE LAW, VEEZYON'S AND ITS SUPPLIERS' AGGREGATE LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

5- Indemnification

You agree to indemnify and hold Veezyon Corporation its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees (collectively “Veezyon Indemnitees”), harmless from and against any loss, liability, obligation, claim, demand, cost or debt, and expenses including but not limited to attorneys fees, arising from: (i) your use of and access to the Veezyon Service; (ii) your violation of any term of the Agreement; (iii) your violation, alleged or actual, of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that any of User Generated Material you upload and publish on the Veezyon Service caused damage to a third party; or (v) your gross negligence or willful malfeasance (“Claims”). You are responsible for defending any such negligence or willful malfeasance, and for payment of losses, costs, damages or expenses resulting from the foregoing to both a third party and to the Veezyon Indemnitees. Veezyon shall have the right, in its sole discretion, to select its own legal counsel to defend the Veezyon Indemnitees from any Claims (but by doing so shall not waive your indemnity obligations), and you shall be solely responsible for the payment of all reasonable attorneys fees incurred by the Veezyon Indemnitees in connection therewith. You shall not, without the prior express written approval of Veezyon, settle, dispose or enter into any proposed settlement or resolution of any Claim (whether having been finally adjudicated or otherwise) brought against you, if such settlement or resolution results in any obligation or liability for any Veezyon Indemnitee. This defense and indemnification obligation will survive the Agreement and your use of the Veezyon Service.
